1 Acceptance of Terms

By accessing, browsing, or utilizing the Frontline Digital (“Company,” “we,” “us,” or “our”) website, submitting a project request, or engaging our software development, web design, digital tooling, and digital infrastructure services, you (“Client,” “User,” or “you”) agree to be bound by these Master Terms of Service. This document serves as the single, comprehensive master contract governing all business relationships, project workflows, and custom digital development between you and Frontline Digital. If you do not agree to every clause within this agreement, you must immediately cease use of our website and services.

2 Scope of Services & Project Workflow

Digital Capabilities: We provide high-performance marketing and business websites, custom web applications, digital tools, and connected digital infrastructure.

Master Contract Structure: This agreement replaces any requirement for individual project-by-project contracts. All services, builds, and digital products commissioned through our intake workflow are governed exclusively by the terms set forth herein.

Service Requests: Submitting an inquiry or project brief via our “Start a Project” workflow initiates the development process under the binding framework of this master agreement.

3 Payment Terms, Project Handover, and Managed Hosting

Payment in Full Requirement: Final project delivery, asset release, and code handover are strictly conditioned upon payment in full following the completion of development.

Handover & Delivery: No production environments, admin credentials, repository access, or live product deployments will be handed over, activated, or released to the Client until all development costs, project fees, and outstanding balances have been paid in full.

Managed Infrastructure & Annual Hosting: Upon project completion and final payment, the website or web application will be hosted, deployed, and maintained exclusively on Frontline Digital’s managed infrastructure (utilizing our proprietary platform environments and developer tools) under an ongoing annual hosting fee. Because we manage the end-to-end hosting environment, raw site files or backend deployments are not migrated or transferred to third-party hosts; all live hosting and infrastructure management remain strictly under Frontline Digital's control.

Sales Tax: Professional custom computer programming and web development services delivered with full ownership transfer upon final payment are billed as non-taxable professional services in accordance with applicable state guidelines.

Accepted Payment Methods & Processing: All project fees, production costs, and recurring charges must be paid through approved payment channels billed directly by Frontline Digital (including Stripe processing, or via pre-approved corporate check or cash expressly authorized in writing by Frontline Digital). Unauthorized payment methods will not be accepted, and payment will not be considered rendered until funds are successfully cleared and received.

4 Intellectual Property Rights & Ownership Transfer

Company Brand & Underlying Frameworks: All content, graphics, user interfaces, logos, source code, designs, and visual assets displayed on frontlinedigitalsd.com are the exclusive property of Frontline Digital and are protected by applicable intellectual property laws. Frontline Digital permanently retains full ownership of all underlying proprietary frameworks, libraries, boilerplate code, architecture blueprints, and development tools utilized to build any solution.

Simultaneous Handover and Ownership Assignment: Upon receipt of full and final payment as outlined in Section 3, Frontline Digital concurrently assigns, transfers, and grants to the Client full ownership and intellectual property rights to the final delivered custom code, site files, and layout assets created specifically for the project, completing both the physical deployment of the site and the legal transfer of copyright.

Perpetual Tool License: The Client receives a perpetual, non-exclusive license to use any embedded provider tools or frameworks solely as integrated into their finished website.

Pre-Completion Status: Prior to final payment and project handover, all deliverables, mockups, and source code remain the exclusive property of Frontline Digital.

5 Post-Launch Changes, Maintenance, and Hosting Renewals

Updates & Edits: Once a project is completed, deployed, and transferred to the Client, any subsequent requests for changes, updates, feature additions, or troubleshooting will be billed separately as professional custom programming or hourly technical services at our standard rates.

Annual Hosting Renewals: Continuous site availability, server management, security updates, and infrastructure maintenance require an active annual hosting subscription managed directly by Frontline Digital. Failure to renew annual hosting fees may result in temporary suspension of live site deployment until accounts are brought current.

6 Client Content & Data License

Grant of License: The client hereby grants Frontline Digital a non-exclusive, worldwide, royalty-free, and fully paid-up license to access, use, store, reproduce, modify, display, and transmit any and all client-provided data, text, photographs, graphics, logos, trademarks, and other digital assets (collectively, “Client Content”) strictly as necessary to develop, configure, host, and maintain the website and digital solutions.

Client Representations: The client represents and warrants that they own or have secured all necessary rights, titles, licenses, and permissions to all Client Content provided to Frontline Digital, and that the use of such content will not infringe, misappropriate, or violate any third-party intellectual property, privacy, or publicity rights.

Responsibility for Content: The client retains all ownership rights in their Client Content and remains solely responsible for its accuracy, legality, and appropriateness. Frontline Digital assumes no liability or responsibility for any unauthorized, inaccurate, or infringing materials provided by the client.

7 Refunds, Third-Party Integrations, and Risk Allocation

No Refunds: Refunds are not required and are only granted or approved by Frontline Digital at its sole discretion after a formal internal investigation.

Third-Party Integrations and Risk: If any project, custom application, or digital product built or integrated by Frontline Digital requires or utilizes third-party APIs, software, plugins, or services, the Client assumes full and exclusive responsibility for any potential risks, vulnerabilities, failures, or damages involved. Frontline Digital shall bear no liability or responsibility for third-party service outages, security breaches, or integration failures.

8 Limitation of Liability & Disclaimers

“As Is” Basis: The website, services, and any deliverables are provided on an “as is” and “as available” basis without warranties of any kind, either express or implied.

Exclusion of Damages: To the maximum extent permitted by applicable law, Frontline Digital, its owner, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages—including loss of profits, data, use, or goodwill—arising out of or in connection with your use of our website, products, or services.

Liability Cap: In no event shall Frontline Digital’s total aggregate liability for any claims related to the website or services exceed the total amount paid by you to Frontline Digital in the preceding six (6) months, or one hundred US dollars ($100), based on operations decided by Frontline Digital.

9 Indemnification

You agree to defend, indemnify, and hold harmless Frontline Digital and its principal operator from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal and accounting fees) arising out of or in any way connected with your access to the website, violation of these Terms of Service, third-party integration risks, or infringement of any third-party right.

10 Governing Law & Dispute Resolution

Jurisdiction: These Terms of Service and any disputes arising out of them shall be governed by and construed in accordance with the laws of the State of Mississippi, without regard to its conflict of law principles.

Venue: Any legal action, suit, or proceeding arising from these terms or your use of our services shall be instituted exclusively in the state or federal courts located within or having jurisdiction over Hattiesburg, Mississippi.

11 Modifications to Terms

We reserve the right, at our sole discretion, to modify, amend, or replace these Terms of Service at any time. Notice of significant changes will be posted by updating the “Effective Date” at the top of this policy. Your continued use of the website or retention of deliverables following any changes constitutes your acceptance of the revised terms.
